Adani Energy Solutions Fully Acquires IntelliSmart for INR 3,050 Crore, Expands Smart Meters Market Share

Ahmedabad (Gujarat): Adani Energy Solutions Limited (AESL), Indiaโ€™s largest private transmission company and one of Indiaโ€™s leading energy solutions providers, has executed a binding securities purchase and subscription agreement to acquire a 100% equity stake in IntelliSmart Infrastructure Private Limited, a leading smart metering joint venture between National Investment and Infrastructure Fund (NIIF) and Energy Efficiency Services Limited (EESL). The proposed acquisition will strengthen AESLโ€™s position as Indiaโ€™s largest smart metering platform with over 4.7+ crore smart meters.

The proposed INR 3,050 crore transaction includes the acquisition of the 100% of the equity share capital of IntelliSmart and redemption of the optionally convertible debentures of IntelliSmart held by NIIF. The transaction closing is subject to regulatory and other customary approvals, the company said in a statement on June 9, 2026. IntelliSmart is one of India’s leading owners and operators of smart meter assets, with a total portfolio of 2.2+ crore meters across Uttar Pradesh, Gujarat, Madhya Pradesh, Bihar, and Assam. IntelliSmart’s presence across high-growth consumer markets provides a strong runway for future expansion.

“Acquisition of IntelliSmart enhances our scale and execution capabilities, enables us to support India’s power distribution modernisation through technology-led solutions,โ€ Adani Energy Solutions chief executive officer Kandarp Patel said. The acquisition is in line with AESL’s strategy to pursue value-accretive growth through both organic and inorganic opportunities. The acquisition is expected to deliver synergies through economies of scale, optimisation of operations and maintenance costs, and integration with AESL’s broader energy and infrastructure platform.

AESL, part of the Adani portfolio, is a multidimensional organisation with presence in various facets of the energy domain, namely power transmission, distribution, smart metering, and cooling solutions. AESL is the country’s largest private transmission company, with a presence across 16 states of India and a cumulative transmission network of 27,949 ckm and 1,23,175 MVA transformation capacity.

In its distribution business, AESL serves more than 13 million consumers in metropolitan Mumbai and the industrial hub of Mundra SEZ. AESL is ramping up its smart metering business and is on course to become Indiaโ€™s leading smart metering integrator with an order book of over 24.6 million meters.
